I have CS3, but plan to upgrade to CS5 soon. I also use Topaz, but if it came to which I would buy first, it definitely would be CS5, no doubt about it. I especially like what the CS5 version of ACR will provide. I could get by without Topaz, but not without ACR (even the CS3 version).
I think this you should take a look at your immediate needs and how much you will use one program vs the other. To make it eassier on you write it down CS5 list vs Topaz. If you do not have Lightroom 2.7 or 3.1 then CS5 is the way to go. If you have LR3 then you can think about going with Topaz. Again just stop and think how much would you be using one vs the other that will give you the answer you are looking for. Best, Don

I upgraded to CS5 from CS3 and really like it. The Content Aware filter was one of the things that sold it for me. It makes it so much easier to clone out stuff you don't want and works really well. I also went from a 32 bit CS3 to 64 bit CS5 and the performance improvement also helped.
I would need to know what model motherboard you have in order to tell you for sure, but I think most likely you will need at minimum to replace your motherboard, cpu, and most likely memory, or pick up a new PC.
